Merck KGaA closes divestment of surface solutions business to Global New Material International

Surface Solutions enterprise divested to Global New Material International (GNMI) for € 665 million

Merck KGaA, a main science and technology enterprise, has efficiently closed the divestment of its international Surface Solutions commercial enterprise to Global New Material International (GNMI) Holdings Ltd. Following assent through all relevant regulatory authorities and the delight of different customary closing situations. The selling rate amounts to € 665 million.

Merck will use the net proceeds from the divestment to reinforce its strategic center businesses. The Surface Solutions business was conveyed to GNMI, one among the largest manufacturers of pearlescent pigments, on July 31, 2025.

“With the end of this transaction, we are similarly sharpening our portfolio attention on technology-pushed commercial business,” stated Belén Garijo, Chair of the Executive Board and CEO of Merck.

“Alongside the latest acquisitions of SpringWorks Therapeutics, HUB Organoids, Unity-SC, and Mirus Bio, the divestiture of non-strategic business remains a main component of our M&A strategy, matched toward assuring long-time period development via innovation.”

“By divesting Surface Solutions, we are putting our Electronics enterprise sector even more firmly as a supplier of semiconductor solutions. At the same time, GNMI provides new opportunities for the Surface Solutions business. This means that workers will accumulate long-term future prospects at the same time as clients will benefit from a broader product portfolio,” brought Kai Beckmann, Member of the Executive Board at Merck and CEO Electronics.

The transaction covers Merck’s global Surface Solutions commercial enterprise with sales of more than € 400 million in 2024, which GNMI will maintain beneath the brand new Susonity brand. Around 1,100 workers, more than 600 of whom are based in Germany, were transferred to GNMI.

As part of the agreement with Merck, GNMI has assured each the future of the Gernsheim site and the employment of its staff based in Germany until 2032. Savannah, USA, and Onahama, Japan, will stay important manufacturing sites for Susonity along Gernsheim. Moreover, Merck and GNMI have entered into a chain of supply and service agreements to make sure the seamless transition of the business.

Merck will remain the owner of the property on the Gernsheim site. The area utilized by Surface Solutions will be leased to GNMI on a long-term settlement. The GreenTech-Park Fluxum in Gernsheim isn’t always affected by the divestment.
